Terms of Service

These Terms of Service ("Terms") govern access to and use of PayDam, a business software service provided by Paldam LLC, a California limited liability company ("Paldam LLC", "PayDam", "we", "us", or "our"). "You" means the person or business that creates a PayDam account, connects a Stripe account, or otherwise uses the service. By using PayDam, you agree to these Terms. If you use PayDam for an entity, you represent that you have authority to bind that entity.

PayDam is offered only for business use. It is not intended for consumer, household, or personal use. If you do not agree to these Terms, do not use the service.

1. The service

PayDam helps Stripe-powered businesses manage failed-payment recovery workflows. The service may monitor connected Stripe accounts for invoice, subscription, customer, and payment-status events; send branded recovery emails on your behalf; generate or route Stripe-powered payment-method update pages; display recovery activity; and provide related settings, templates, reporting, and support.

Stripe remains your payment processor and system of record. PayDam does not hold customer funds, store raw card numbers or CVC codes, control your payouts, guarantee card authorization, or replace your obligations to Stripe or to your customers. Unless a feature expressly states otherwise, payment attempts, payment-method storage, charge authorization, refunds, disputes, taxes, and payouts remain handled by Stripe and your Stripe configuration.

2. Your account and authority

  • You must be at least 18 years old and legally able to enter into this agreement.
  • You are responsible for all activity under your account, including activity by users you invite or credentials you share.
  • You must keep account, billing, company, sender, support, and Stripe information accurate and current.
  • You are responsible for securing your devices, email inboxes, passwords, API keys, Stripe credentials, and any signed recovery URLs you generate or distribute.
  • We may rely on instructions from anyone who can authenticate to your PayDam account or from an email address associated with your account.

3. Merchant responsibilities

You are solely responsible for:

  • your products, services, subscriptions, invoices, customers, taxes, refund policies, cancellation policies, and customer support;
  • the accuracy, legality, and deliverability of recovery emails, template content, branding, sender names, domains, and support addresses you configure;
  • having a lawful basis and any required notices, consents, or contractual rights to send payment-recovery communications to your customers;
  • complying with anti-spam, privacy, consumer-protection, payment, tax, sanctions, export-control, and industry-specific laws that apply to your business;
  • complying with the Stripe Services Agreement, Stripe Connect terms, Stripe restricted-business rules, card-network rules, and any other third-party terms that apply to your Stripe account;
  • reviewing PayDam output, recovery settings, schedules, templates, and dashboard data before relying on them; and
  • resolving disputes with your customers, including disputes about invoices, subscriptions, cancellation, access to your product, or whether a payment was owed.

You will not use PayDam for unlawful, misleading, abusive, deceptive, high-risk, sanctioned, or restricted activity, or to contact people who do not have a legitimate billing relationship with your business.

4. Plans, billing, and success fees

Current plans and prices are shown on the PayDam pricing and Billing pages. Paid plans may include a monthly base fee and a success fee. Free plans may include only a success fee. Unless stated otherwise at checkout, monthly fees renew automatically until canceled.

  • Trials. Trial availability, length, and conversion terms are shown at signup or checkout. We may change, limit, or end trials at any time for new accounts.
  • Monthly fees. Monthly plan fees are billed in advance and are not refundable once a billing period begins, except where required by law or expressly agreed in writing.
  • Success fees. A success fee applies when an invoice that was previously failed, past due, unpaid, or otherwise in recovery is paid after PayDam has started or recorded a recovery workflow for that invoice.
  • Attribution. A recovery may be attributed to PayDam when PayDam sends or schedules a recovery email, generates or displays a signed recovery URL, records a recovery event, or otherwise starts a PayDam recovery workflow before the invoice is paid. Attribution does not require proof that PayDam was the sole or exclusive cause of payment.
  • Disputes. You must dispute an invoice or success-fee calculation within thirty (30) days after the charge or invoice date. Undisputed amounts are deemed accepted to the maximum extent permitted by law.
  • Taxes. Prices do not include taxes unless stated. You are responsible for taxes, duties, levies, and similar charges arising from your purchase or use of PayDam, other than taxes on Paldam LLC's income.
  • Failed payment. If payment fails, we may retry the charge, suspend recovery emails, downgrade features, disable access, or terminate the account.
  • Chargebacks. If you initiate a chargeback without first making a good-faith attempt to resolve the issue with us, we may suspend or terminate the service and recover chargeback fees, collection costs, and reasonable legal costs where permitted by law.

5. No recovery guarantee

PayDam provides tools, workflows, and reporting. We do not guarantee that any invoice will be recovered, that any customer will update a payment method, that any email will be delivered, opened, or clicked, that any payment will be authorized, or that any recovered revenue would not have been recovered without PayDam. Recovery metrics, dashboards, ROI calculators, comparisons, examples, and estimates are informational only and are not financial, accounting, tax, legal, or business advice.

6. Third-party services

PayDam depends on third-party services, including Stripe, cloud hosting providers, email delivery providers, DNS/CDN providers, and your own domains, inboxes, Stripe configuration, and customer data. We are not responsible for third-party outages, delays, API changes, rate limits, deliverability filtering, rejected payments, webhook failures, domain misconfiguration, billing disputes, or decisions made by Stripe, card networks, banks, email providers, hosting providers, or your customers.

PayDam is not affiliated with or endorsed by Stripe. "Stripe" and related names are the property of Stripe, Inc. or its affiliates.

7. Data, privacy, and security

You retain ownership of your data. You grant Paldam LLC and its service providers a limited license to access, process, store, transmit, display, and use your data as necessary to provide, secure, support, improve, and enforce the service and these Terms. For end-customer personal data that you direct us to process, you are the controller and Paldam LLC is the processor, as described in the Privacy Policy and Data Processing Agreement.

You are responsible for the accuracy and legality of data sent to PayDam from Stripe or entered into PayDam. We may process aggregated, de-identified, or usage data to operate, secure, analyze, and improve PayDam, provided that such data does not identify you, your customers, or any individual.

8. Intellectual property and feedback

PayDam, including software, designs, workflows, templates supplied by PayDam, documentation, and related technology, is owned by Paldam LLC or its licensors. These Terms do not transfer any ownership rights to you. You may use PayDam only for your internal business purposes and only as permitted by these Terms.

If you provide suggestions, feedback, feature requests, or ideas, you grant Paldam LLC a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.

9. Restrictions

You will not:

  • reverse engineer, decompile, copy, scrape, benchmark for publication, or attempt to extract source code or non-public service information;
  • resell, sublicense, timeshare, or provide PayDam as a managed service without written permission;
  • probe, scan, or test vulnerabilities except through our published security disclosure process;
  • interfere with PayDam, other customers, or third-party infrastructure;
  • upload malware, abusive content, misleading content, or content that infringes another party's rights;
  • use PayDam to send spam, phishing, deceptive billing notices, unlawful marketing, or collection communications that violate applicable law; or
  • use PayDam in a way that could cause legal, security, deliverability, reputational, or operational harm to Paldam LLC or any third party.

10. Suspension and termination

You may cancel a subscription from the Billing page or by contacting support. Cancellation stops future monthly plan renewals but does not waive amounts already incurred, including success fees for attributed recoveries.

We may suspend, limit, or terminate the service immediately if we believe: you violated these Terms; payment is overdue; your use creates legal, security, deliverability, operational, or reputational risk; your Stripe account is restricted or disconnected; your activity may violate law or third-party terms; or suspension is needed to protect PayDam, Stripe, service providers, customers, or the public. We may also discontinue the service or any feature on reasonable notice where practical.

After termination, we may delete data according to our Privacy Policy and DPA, but may retain records as needed for legal compliance, tax, billing, dispute resolution, security, fraud prevention, backup retention, and enforcement of these Terms.

11. Disclaimers

To the maximum extent permitted by law, PayDam is provided "as is" and "as available." Paldam LLC disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, accuracy, deliverability, security, and results.

We do not warrant that PayDam will meet your requirements, recover any amount, prevent churn, prevent lost revenue, comply with laws that apply to your business, or operate without interruption, delay, data loss, vulnerability, or error.

12. Limitation of liability

To the maximum extent permitted by law, Paldam LLC's total aggregate liability arising out of or relating to PayDam or these Terms will not exceed the greater of (a) the amount you paid to Paldam LLC for PayDam during the three (3) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

To the maximum extent permitted by law, Paldam LLC will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages; lost profits; lost revenue; lost savings; lost goodwill; lost data; business interruption; replacement services; payment-processing failures; chargebacks; tax liabilities; end-customer claims; email deliverability issues; or third-party service failures, even if advised of the possibility of such damages.

The limitations in this section apply regardless of the theory of liability, whether contract, tort, negligence, strict liability, statute, or otherwise, and even if a limited remedy fails of its essential purpose.

13. Indemnification

You will defend, indemnify, and hold harmless Paldam LLC and its owners, officers, employees, contractors, service providers, and affiliates from and against claims, damages, losses, liabilities, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: your use or misuse of PayDam; your business, products, services, subscriptions, invoices, taxes, refunds, or customers; your data, templates, sender domains, email content, or branding; your violation of these Terms, law, third-party rights, or Stripe terms; your failure to obtain required rights, notices, or consents; a dispute between you and any customer; or any allegation that PayDam's processing of data or sending of communications according to your instructions violated law or third-party rights.

Paldam LLC has no indemnification obligation except to the extent expressly required by non-waivable law or agreed in a separate written agreement signed by Paldam LLC.

14. Force majeure

Paldam LLC will not be responsible for delay, failure, loss, or damage caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, third-party platform failures, Stripe or email-provider issues, security incidents, governmental action, legal restrictions, or supply-chain disruptions.

15. Changes to PayDam or these Terms

We may modify PayDam and these Terms from time to time. Material changes to these Terms will be posted on this page or sent to the account email where required. Changes take effect when posted unless a later effective date is stated. Continued use of PayDam after changes take effect constitutes acceptance. If you do not agree, you must stop using PayDam and cancel your subscription.

16. Governing law, venue, and disputes

These Terms are governed by California law, excluding conflict-of-law rules. Any dispute arising out of or relating to PayDam or these Terms will be brought exclusively in the state courts located in Sacramento County, California, or, if federal jurisdiction exists, the United States District Court for the Eastern District of California. Each party consents to personal jurisdiction and venue in those courts.

To the maximum extent permitted by law, each party waives any right to a jury trial and any right to bring or participate in a class, collective, consolidated, private-attorney-general, or representative action. Any claim must be brought within one (1) year after the claim arose, or it is permanently barred, unless applicable law does not allow that limitation.

17. Miscellaneous

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. These Terms, together with the Privacy Policy, DPA, and any checkout or plan terms, are the entire agreement for PayDam. If any part is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, liability limits, indemnities, dispute terms, and data-retention rights.
